Our knowledge of vendor contracting allows us to quickly assess the terms and conditions of the contracts as it applies to assignment or termination.

We will assess what purchased software applications are required to be assigned, terminated or transferred.

We will review internally developed software and determine the underlying development tools and external components incorporated therein.

We will provide a detailed worksheet on each contract, application, and incorporated component. We will work directly with the technology vendors to determine (and reduce or eliminate) any assignment or termination fees.

We will prepare, distribute, and manage all software assignments and transfers. We will provide hardcopy and digital files on each and every contract.

Missed Components

Each application system, whether for development or support, requires a specific set of tools; such as compliers, databases, editors, and occasionally vendor provided object code.

Often, application components are missed during due diligence and later have unexpected contractual and financial impacts.
